Data Processing Agreement
Standard data-processing terms for personal data handled by UniqCommerceMediaCom on a client’s behalf.

Scope and roles
This Data Processing Agreement applies when UniqCommerceMediaCom processes personal data on behalf of a client in providing contracted services. The client acts as controller and UniqCommerceMediaCom acts as processor, unless applicable law assigns different roles.
Processing instructions
We process personal data only on documented client instructions, including instructions in the service agreement, unless law requires otherwise. The client is responsible for lawful collection, notices, permissions, and instructions.
Confidentiality and security
Authorized personnel are subject to confidentiality obligations. We maintain reasonable organizational and technical measures appropriate to the nature of processing, including access controls, account security, data minimization, and secure working practices.
Subprocessors
The client authorizes use of subprocessors reasonably required for hosting, communications, analytics, advertising operations, and productivity. We remain responsible for imposing appropriate data-protection obligations on subprocessors and will provide information about material subprocessors on reasonable request.
Assistance and incidents
Taking account of the processing and information available, we will reasonably assist with data-subject requests, security obligations, impact assessments, and regulator enquiries. We will notify the client without undue delay after becoming aware of a confirmed personal-data breach affecting client data.
Transfers, return, and deletion
Where processing involves international transfers, the parties will use a lawful transfer mechanism when required. At the end of services, we will return or delete client personal data on request unless retention is required by law or legitimate record-keeping obligations.
Audit information
We will make information reasonably necessary to demonstrate compliance available to the client. Audits must be proportionate, protect other clients and confidential systems, and normally occur no more than once annually unless required following a material incident.
Governing law and contact
This DPA follows the governing-law terms of the applicable client agreement. If none are specified, Indian law applies and courts in Chennai, Tamil Nadu have jurisdiction.
