Acceptance and eligibility
By accessing this website or ordering services from UniqCommerceMediaCom, you agree to these Terms. You must be legally capable of entering a binding contract and provide accurate business and contact information.
Services and proposals
Service scope, deliverables, timing, fees, dependencies, and acceptance criteria are defined in the applicable proposal, statement of work, order form, or written confirmation. Changes outside the agreed scope may require revised fees and timing.
Client responsibilities
Clients must provide timely access, approvals, lawful content, accurate claims, and any permissions needed for platforms, assets, audiences, and data. Delays in these dependencies may move delivery dates.
Fees and payment
Fees, taxes, deposits, advertising spend, third-party costs, and payment schedules are stated in the applicable agreement. Unless expressly stated otherwise, platform spend and third-party charges are paid by the client and are non-refundable once incurred.
Intellectual property
Each party retains ownership of material it owned before the engagement. After full payment, the client receives the rights expressly described in the applicable agreement. We retain our tools, methods, templates, know-how, and reusable components, subject to confidentiality obligations.
Acceptable use
You may not misuse the website or services, interfere with security, upload unlawful or infringing content, make deceptive claims, send unauthorized communications, or use deliverables in violation of applicable law or platform rules.
Warranties and liability
Services are provided with reasonable professional care, but advertising, ranking, revenue, approval, and platform outcomes cannot be guaranteed. To the extent permitted by law, neither party is liable for indirect or consequential loss. Any aggregate liability will be limited as stated in the applicable client agreement.
Termination
Either party may terminate as allowed by the applicable agreement. Amounts due for completed work, committed media, approved expenses, and non-cancellable third-party costs remain payable. Provisions intended to survive termination will continue.
Governing law
These website Terms are governed by the laws of India. Courts in Chennai, Tamil Nadu have exclusive jurisdiction, unless a signed agreement provides otherwise.
